Terms of Service

1. Introduction

Welcome to LogiVAs. These Terms of Service ("Terms") govern your access to and use of the LogiVAs website, platform, virtual assistant staffing services, and related services (collectively, the "Services") provided by LogiVAs, a company based in Colombia. The registered business address will be published on our legal pages once incorporation is complete.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services. If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity.

2. Services Description

LogiVAs provides:

  • Virtual Assistant Staffing: Trained, bilingual virtual assistants specialized in logistics, freight forwarding, customs, and e-commerce operations.
  • Platform Access: A web-based CRM, ERP, and AI-powered assistant for logistics operations management (optional add-on).
  • Training & Certification: Internal VA certification programs covering logistics, cybersecurity, and platform proficiency.

3. Account Registration

To access the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

You must notify LogiVAs immediately of any unauthorized use of your account at contact@logivas.com.

4. Service Agreements

Use of VA staffing services requires execution of a Master Service Agreement (MSA) and applicable Service Orders. These Terms apply to your use of the website and Platform; the MSA governs the staffing relationship.

5. Fees and Payment

  • Fees for Services are as specified in your Service Order or subscription plan.
  • All fees are in US Dollars (USD) unless otherwise stated.
  • Invoices are due within fifteen (15) days of issuance.
  • Overdue amounts accrue interest at 1.5% per month or the legal maximum.
  • LogiVAs may suspend access to the Platform for accounts more than 30 days past due.
  • You are responsible for applicable taxes in your jurisdiction.

6. Acceptable Use

You agree NOT to:

  • Use the Services for unlawful purposes or to facilitate illegal activities.
  • Attempt to gain unauthorized access to the Platform or other users' accounts.
  • Reverse-engineer, decompile, or disassemble any part of the Platform.
  • Upload malicious code, viruses, or harmful content.
  • Interfere with the proper functioning of the Services.
  • Use the Services to infringe upon intellectual property or privacy rights.
  • Resell, sublicense, or redistribute access to the Platform without authorization.
  • Use the AI Agent to generate misleading, harmful, or deceptive content.
  • Directly solicit or hire LogiVAs VAs outside the terms of your MSA.

7. Intellectual Property

The Platform, including its software, design, text, graphics, AI models, and trademarks, is the exclusive property of LogiVAs and is protected by copyright and intellectual property laws. You receive a non-exclusive, non-transferable license to use the Platform during your subscription. Your data remains your property.

8. Data and Privacy

Your use of the Services is subject to our Privacy Policy. For clients engaging VA staffing services, data processing is governed by the Data Processing Agreement (DPA) executed as part of the MSA.

9. AI Agent Disclaimer

The AI Agent feature provides operational insights and assistance based on your data. AI-generated responses are informational and should not be relied upon as the sole basis for business decisions. LogiVAs does not guarantee the accuracy, completeness, or reliability of AI-generated content. You are responsible for verifying any information before acting upon it.

10. Service Level

LogiVAs strives to maintain Platform availability of 99.5% uptime, excluding scheduled maintenance. Scheduled maintenance will be communicated at least 24 hours in advance. LogiVAs is not liable for downtime caused by third-party providers, force majeure, or circumstances beyond reasonable control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGIVAS' TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. LOGIVAS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.

12. Indemnification

You agree to indemnify and hold harmless LogiVAs from any claims, losses, or damages arising from: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law; (c) your infringement of third-party rights.

13. Termination

LogiVAs may suspend or terminate your access to the Platform if you breach these Terms. Upon termination, you may request an export of your data within 30 days. After this period, LogiVAs may delete your data in accordance with its retention policy.

14. Governing Law

These Terms are governed by the laws of the Republic of Colombia. For users in the United States, mandatory consumer protection provisions of your state may also apply. Disputes shall be resolved through mediation and arbitration at the Medellín Chamber of Commerce, unless otherwise required by applicable law.

15. Changes to Terms

LogiVAs may update these Terms from time to time. We will notify registered users of material changes via email at least fifteen (15) days before they take effect. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
